Terms of engagement

The deal, before the deal

Nothing here should surprise you halfway through a project. These are the same terms we talk through on the first call, written down so both sides can point at them.

What we agree before anything starts

Every engagement begins with a written scope: the pages or screens included, the deliverables, the milestone dates and a fixed price. Nothing is booked into the schedule until you have approved that document.

Work outside that scope is not absorbed quietly and it is not refused on principle. It is priced, dated and approved in writing before it is built.

Payment

Projects are invoiced in stages: a deposit to reserve the schedule, one or more milestone payments, and a final balance on handover. Percentages are set out in your scope document.

Invoices are payable within fourteen days. Retainers are billed monthly in advance and can be cancelled with thirty days' notice — no minimum term, no exit fee.

What we need from you

Content, brand assets, account access and consolidated feedback within the agreed review windows. Almost every schedule that slips, slips here rather than in the build.

We will tell you early and in writing if a delay is going to move the launch date, along with what it would take to recover it.

Revisions and changes of direction

Two structured review rounds are included at each design milestone, with feedback consolidated in one place rather than arriving across several channels.

A genuine change of direction after approval is a new piece of work. We will quote it honestly, including the option of not doing it.

Ownership and intellectual property

On final payment, you own the design files, the source code and the content we produced for you. Repositories, hosting, domains and third-party accounts are created in your name from day one.

We retain the right to describe the work publicly and to reuse generic techniques, components and internal tooling that are not specific to your business.

Warranty and support

Defects reported within thirty days of launch — where delivered work does not behave as specified — are fixed at no cost. Browser and device support is defined in your scope document.

Beyond that window, maintenance is available monthly and covers updates, backups, monitoring, performance checks and an agreed allowance of change hours.

What we can and cannot promise

We commit to the agreed scope, the agreed performance budget and the accessibility standard written into your documentation. Those are within our control and we stand behind them.

We do not guarantee search rankings, traffic volumes or revenue figures. Anyone who does is guessing on your behalf.

Ending an engagement

Either side can end a project in writing. You pay for work completed and approved to that point, and you keep everything produced up to it.

There is no penalty clause and no hostage-taking of accounts. A partnership that only survives because leaving is expensive is not one we want.
